| For good and valuable consideration, the receipt of which I acknowledge, I grant to Career Eagle and 3 Minute Campaign (www.3minutecampaign.org) the exclusive and irrevocable license to distribute, broadcast, stream, make available for download, advertise, sell and/or otherwise exploit the Video, in perpetuity and throughout the universe, in all media now known or hereafter devised. I grant to Career Eagle and 3 Minute Campaign (www.3minutecampaign.org) the right to use my name, likeness and biography in connection with said exploitation. I agree that Career Eagle and 3 Minute Campaign (www.3minutecampaign.org) may modify the Video subject to their sole discretion. I represent and warrant that |

(1) I have the right to grant the rights set forth in this paragraph and perform all of my obligations hereunder, including, without limitation, to act on behalf of my Employer or Institution of Higher Learning;

(2) I own or control the Video and all the material included therein, including, without limitation, the right to use the name, logo, location and title of my Employer or Institution of Higher Learning; and

(3) there are no encumbrances, legal or otherwise, upon the Video that would adversely affect Career Eagle's rights hereunder. I assume liability for, and will indemnify, protect, save and hold harmless Career Eagle, 3 Minute Campaign (www.3minutecampaign.org) and its affiliated companies, distributors, assigns and licensees and the respective shareholders, directors, officers, employees and agents of the foregoing ("Indemnified Parties") from and against any claims, actions, losses, penalties, expenses or damages (including, without limitation, reasonable outside legal fees and expenses) of whatsoever kind and nature imposed on, incurred by or asserted against any of the Indemnified Parties arising out of any breach by me and/or my employees or agents of any representation, warranty or covenant made by me.
